Terms of Service

These terms form a binding agreement between you and Converza, Lagos, Nigeria ("Converza", "we", "us"). Creating a workspace, or using one somebody invited you to, means you accept them.

If you are accepting on behalf of a business, you confirm you have authority to bind that business, and "you" means the business.

If you do not accept these terms, do not create a workspace and do not use the service.

Converza is software that sits above a WhatsApp channel a business already uses. It saves contacts automatically, tracks deals through a pipeline, sends campaigns, runs automations, captures leads through forms and pages, manages bookings, records groups, reports on revenue, and creates payment links.

Converza is not a messaging network and does not own the channel. WhatsApp is operated by Meta. Payments are processed by Monnify. Sign-in is handled by an identity provider. We integrate with these; we do not control them.

A workspace is the unit of everything: one WhatsApp channel, one set of contacts, one team, one plan. The person who creates it is its owner and may transfer ownership or delete it.

You are responsible for:

• The accuracy of the information you give us.
• Keeping your sign-in credentials secure and not sharing them.
• Everything done inside your workspace by the members you invited, including every message they send.
• Choosing the right role for each member. An agent can send messages and edit records; an admin can manage the team and publish; a viewer can only read.

Tell us promptly if you believe an account has been compromised.

You may not use Converza to:

• Message people who have not agreed to hear from you, or continue messaging someone after they have opted out.
• Send anything unlawful, fraudulent, deceptive, harassing, hateful or designed to defraud the person receiving it.
• Impersonate another business or person, or misrepresent who a message is from.
• Reach, or attempt to reach, another workspace’s data.
• Probe, scan or interfere with the service, or with anyone else’s use of it.
• Circumvent rate limits, plan limits, or any technical restriction.
• Resell or provide the service to third parties without a written agreement with us.
• Use the service to build a competing product, or to scrape it.

You are also bound by WhatsApp’s own terms and its business messaging policies. Breaching those can get your number restricted or banned by Meta, which is a decision we cannot see, influence or reverse.

Your contacts, messages, deals, submissions and records belong to you. We claim no ownership of them.

You grant us the limited permission needed to operate the service: to store that data, process it, and transmit it to the providers the features depend on, such as WhatsApp for a message you asked to send or Monnify for a payment you asked to collect.

You are responsible for having a lawful basis to hold and message the people in your workspace, and for answering the requests those people make about their own data. Our privacy policy sets out how we handle data on both sides of that relationship.

You may export your analytics and delete any record at any time. Deleting your workspace deletes what is attached to it.

Converza is sold in monthly periods. A payment buys one month of the plan you chose and extends any period still remaining rather than replacing it.

Nothing is stored and nothing charges automatically. There is no card on file and no scheduled billing, which means you are never charged without taking an action.

When a period runs out and is not renewed, your workspace and its data remain. Plan limits apply from that point.

Payments are processed by Monnify in naira. Because a payment buys a period that begins immediately, payments are not refundable once the period has started, except where the law gives you a right we cannot exclude.

Prices may change. A change never affects a period you have already paid for, and we will give notice before it applies to a future one.

Plan limits describe the volume each plan is sized for: messages a month, contacts held, and team members. Using materially more than your plan allows over a sustained period may lead us to ask you to move up.

Some features only work if you connect a service you control, such as WhatsApp, Google Contacts or Monnify. Connecting one is your choice and is governed by that provider’s terms as well as these.

We are not responsible for a third party service being unavailable, changing its interface, changing its pricing, or suspending your access to it. If WhatsApp restricts your number, or Monnify holds a settlement, those are matters between you and them.

We work to keep Converza running and will not pretend it can never be unavailable. Planned work is announced in advance where we reasonably can.

The service is provided as it is and as it is available. To the extent the law allows, we make no warranty that it will be uninterrupted, error free, or fit for a particular purpose you have in mind.

Support is available at support@converza.site. We answer as quickly as we can and do not promise a fixed response time.

The Converza software, brand, design and documentation are ours and stay ours. Nothing in these terms transfers them to you.

You get a non-exclusive, non-transferable right to use the service for your business while your account is in good standing. That right ends when the agreement does.

If you send us feedback or suggestions, we may use them without owing you anything for it.

You may stop at any time by deleting your workspace. No notice is required and no further payment is due.

We may suspend or end access where a workspace is being used in breach of these terms, where it is putting other users or the WhatsApp channel at risk, or where the law requires it. Where the situation allows, we will tell you first and give you a chance to put it right.

On termination your right to use the service ends. You should export anything you want to keep before deleting a workspace, because deletion is not reversible.

To the fullest extent the law allows:

• Neither party is liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, goodwill or data, however it arises.
• Our total liability to you for all claims in any twelve month period is limited to the amount you paid us in the three months before the claim arose.

Nothing here excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud.

You accept that Converza is a tool that records and assists your business, and that responsibility for the commercial outcome of what you send remains yours.

You will cover us against claims brought by a third party that arise from your use of the service in breach of these terms, from the content of messages you sent, or from your handling of your customers’ data.

We may update these terms as the product changes. If a change materially affects your rights we will tell you rather than silently amend the page, and it takes effect on the date we give.

Continuing to use Converza after a change takes effect means you accept the updated terms. If you do not accept them, delete your workspace.

These terms are governed by the laws of the Federal Republic of Nigeria, and the courts of Lagos State have jurisdiction over any dispute.

Before starting proceedings, both sides agree to raise the issue in writing and try in good faith to resolve it within thirty days.

If any provision is found unenforceable, the rest continues in force and that provision is read as narrowly as needed to make it valid.

Failing to enforce a term is not a waiver of it.

You may not transfer this agreement without our written consent. We may transfer it as part of a merger, acquisition or sale of the business.

These terms, together with the privacy policy, are the whole agreement between us about the service and replace anything said before.
